Business Adviser to the Medibank Scoping Study

The key task of the Business Adviser will be to develop a Scoping Study Report (SSR) that proposes the optimal approach, and considers options and related issues, for the sale of Medibank Private Limited (Medibank).

The Department of Finance may, at its sole discretion, extend the engagement of the Business Adviser for any sale of the Commonwealth’s interest in Medibank.

The Business Adviser will provide independent advice through both the scoping study and, at Finance’s discretion, the sale phase. The Business Adviser will not be permitted to undertake a selling syndicate role in the event that an Initial Public Offer of Medibank is undertaken.

The Business Adviser will conduct the required services having regard to the Australian Government’s objectives for the sale of Medibank, specifically:

• to contribute to an efficient, competitive and viable private health insurance industry;
• to maintain service and quality levels for Medibank policy holders including in regional and rural Australia;
• to ensure the sale process treats Medibank employees in a fair manner, including through the preservation of accrued entitlements;
• to minimise any post sale residual risk and liabilities to the Commonwealth; and
• having regard to the above objectives, to maximise the net proceeds from the sale.
