Contract for Services

Assisting the Government with the sale of TOTE Tasmania, as a legal adviser, including: • advice on legal issues arising in preparing for sale, including legal due diligence as required; • legal advice in relation to the sale process; • establishing and managing an on-line data room; • assisting with the implementation of the due diligence processes; • preparing and reviewing draft sale agreements and assisting in the negotiation of agreements through to execution with the buyer; • assisting the sale adviser in the transaction process including assistance in relation to legal issues arising from the negotiation of a sale agreement; • assisting in managing the process from signing to completion; and • providing legal advice in relation to an appropriate mechanism through which the return of sale proceeds to Government will occur.
